【制定机关】 【发文字号】 【公布日期】 【施行日期】 【效力位阶】 【法规类别】中国证券监督管理委员会令（第182号）上市公司信息披露管理办法已 经2021年3月4日中国证券监督 管理委员会2021年第3次委务会 议审议通过，现予公布，自2021 年5月1日起施行。主席易会满2021年3月18日上市公司信息披露管理办法上市公司信息披露管理办法(2021修订)MeasuresfortheAdministrationofInformationDisclosurebyListedCompanies(2021Revision)中国证券监督管理委员会中国证券监督管理委员会令第182号2021.03.182021.05.01部门规章证券综合规定，上市公司Issuingauthority：InstrumentalitiesoftheStateCouncil,ACommissionsjChinaSecuRegulatoryCommissionDocumentNumber：OrderNo.182oftheChinaSecuritiesRegulatoryCommissionDateissued：03-18-2021Effectivedate：05-01-20211.evelofAuthority：DepartmentalRulesAreaofLaw：SecuntiesjSecurities1OptimizationofDoingBusinessOrderoftheChinaSecuritiesRegulatoryCommission(No.182)TheMeasuresfortheAdministrationofInformationDisclosurebyListedCompanies,asdeliberatedandadoptedatthe3rd2021executivemeetingoftheChinaSecuritiesRegulatoryCommissiononMarch4,2021,areherebyissued,andshallcomeintoforceonMay1,2021.YiHuiman5ChairmanoftheChinaSecuritiesRegulatoryCommissionMarch18,2021MeasuresfortheAdministrationofInformationDisclosurebyListedCompaniesChapter I GeneralProvisionsArticle1Forthepurposeofregulatingtheinformationdisclosureconductoflistedcompaniesandotherpersonswithinformationdisclosureobligations,strengtheningtheadministrationofinformationdisclosure,protectingthelegitimaterightsandinterestsofinvestors,theseMeasuresareformulatedinaccordancewiththeCompanyLawofthePeople'sRepublicofChina(hereinafterreferredtoasthe"CompanyLaw',)jtheSecuritiesLawofthePeople'sRepublicofChina(hereinafterreferredtoasthe"SecuritiesLaw"),andotherlawsandadministrativeregulations.Article2ApersonwithinformationdisclosureobligationsshallcomplywiththeseMeasuresinperformingitsinformationdisclosureobligations,subjecttotherulesoftheChinaSecuritiesRegulatoryCommission(hereinafterreferredtoasthe"CSRC)forinformationdisclosureconcerningtheinitialpublicofferingsofstockandlistingsandconcerningtheofferingofsecuritiesbylistedcompanies.Article3Apersonwithinformationdisclosureobligationsshallperformitsinformationdisclosureobligationsinatimelymannerinaccordancewiththelaw,andtheinformationdisclosedshallbeauthentic,accurate,complete,concise,clear,andeasytounderstand,andshallnotcontainanyfalsestatement,misleadingstatement,ormaterialomission.第一章总则第一条为了规范上市公司 及其他信息披露义务人的信息披 露行为，加强信息披露事务管理， 保护投资者合法权益，根据中华 人民共和国公司法（以下简称公 司法）、中华人民共和国证券 法（以下简称证券法）等法 律、行政法规，制定本办法。第二条信息披露义务人履 行信息披露义务应当遵守本办法 的规定，中国证券监督管理委员会 （以下简称中国证监会）对首次公 开发行股票并上市、上市公司发行 证券信息披露另有规定的，从其规 定。第三条信息披露义务人应 当及时依法履行信息披露义务，披 露的信息应当真实、准确、完整， 简明清晰、通俗易懂，不得有虚假 记载、误导性陈述或者重大遗漏。信息披露义务人披露的信息应当Theinformationdisclosedbythepersonwithinformationdisclosureobligationsshallbedisclosedtoallinvestorsatthesametime,andshallnotbedisclosedtoanyentityorindividualinadvance,unlessotherwiseprovidedbyanylaworadministrativeregulations.Beforetheinsiderinformationisdisclosedinaccordancewiththelaw,neitheraninsiderwhohasaccesstoinsiderinformationnorapersonwhohas川egallyobtainedinsiderinformationshallpubliclydiscloseordivulgetheinformation,orusetheinformationforinsidertrading.Noentityorindividualmayillegallyrequireapersonwithinformationdisclosureobligationstoprovidenon-publicinformationrequiredtobedisclosedbylaw.Ifasecurity,oraderivativebasedthereon,ispubliclyofferedandtradedbothdomesticallyandoverseasconcurrently,theinformationdisclosedbythepersonwithinformationdisclosureobligationsintheoverseasmarketshallbedisclosedinthedomesticmarketconcurrently.Article4Thedirectors,supervisorsandofficersofalistedcompanyshallperformtheirdutiesfaithfullyanddiligentlyandensuretheauthenticity,accuracy,andcompletenessofinformationdisclosedandfairandtimelyinformationdisclosure.同时向所有投资者披露，不得提前 向任何单位和个人泄露。但是，法 律、行政法规另有规定的除外。在内幕信息依法披露前，内幕信息 的知情人和非法获取内幕信息的 人不得公开或者泄露该信息，不得 利用该信息进行内幕交易。任何单 位和个人不得非法要求信息披露 义务人提供依法需要披露但尚未 披露的信息。证券及其衍生品种同时在境内境 外公开发行、交易的，其信息披露 义务人在境外市场披露的信息，应 当同时在境内市场披露。第四条上市公司的董事、监 事、高级管理人员应当忠实、勤勉 地履行职责，保证披露信息的真 实、准确、完整，信息披露及时、 公平。第五条除依法需要披露的 信息之外，信息披露义务人可以自 愿披露与投资者作出价值判断和 投资决策有关的信息，但不得与依 法披露的信息相冲突，不得误导投 资者。Article5Inadditiontotheinformationthatshallbedisclosedinaccordancewiththelaw,personswithinformationdisclosureobligationsmayvoluntarilydiscloseinformationrelatedtoaninvestor'svaluejudgmentandinvestmentdecision-making,butsuchinformationshallnotcontradicttheinformationdisclosedinaccordancewiththelawormisleadinvestors.Theinformationvoluntarilydisclosedbythepersonwithinformationdisclosureobligationsshallbeauthentic,accurate,andcomplete.Voluntaryinformationdisclosureshallcomplywiththeprincipleoffairness,andmaintainthecontinuityandconsistencyofinformationdisclosure,andshallnotbeselectivedisclosure.Thepersonwithinformationdisclosureobligationsshallnotusevoluntarilydisclosedinformationtoimproperlyaffectthetradingpriceofacompanysecurityoraderivativebasedthereon,ortoengageinmarketmanipulationoranyotherviolationoflawsandregulations.Article6Wherealistedcompanyanditscontrollingshareholder,actualcontroller,directors,supervisors,andofficers,amongothers,giveanyundertakin
