ASSIGNMENTANDSUB-LETTING转包和转租TheContractshallnotbeassignedbySellernorsub-letasawhole.SellershallnotemployanySub-ContractorwithoutBuyer'swrittenconsent,whichshallnotbeunreasonablywithheld.卖方不得对此合同整体进行转包，也不得整体转租。卖方在没有买方书面同意的情况下不得雇佣任何分包商，买方不得故意拖延不予认可。15. LOSSzDETERIORATIONORDAMAGEINTRANSIT运输过程中丢失、变质或损坏15.1 SellershallprotectGoodssoastopreventdeteriorationordamageduringtransportationandstorage.卖方在储运时必须保护好货物以防止货物变质或损坏。15.2 TotheextentthatSellerisresponsiblefortransportandwithoutprejudicetoanyotherofBuyer'srightsSellershallpromptlymakegoodfreeofchargetoBuyeranylossofordamagetoGoodsintransit.根据卖方运输责任的程度，并在不对买方任何其它权利有偏见下，卖方应及时赔偿运输过程中货物的丢失或损坏。23. PLANTFORUSEONSITE现场使用的机械设备23.1 UnlessotherwisespecifiedinwritingbytheBuyerzSellershallprovideallplant,materials,equipmentandotherthings("Plant")andlabournecessarytoperformtheServices.SellermustensurethatSellerholdsallappropriatetestandexaminationcertificatesforsuchPlantandmustproducethemforthwithonrequestforinspectionbyBuyer.除非买方另外书面说明，卖方应提供所有的机械设备、设备、材料、机器和其他(车间)和必需的人力来完成服务。卖方必须保证持有这样车间的适当测试和检验证书，并在买方需要时，立即提交买方检验。23.2 NotwithstandingtheprovisionsofClause23.1shouldBuyerallowSellertouseanyofBuyer'sPlantSellershallensurethatsuchPlantis:-除了23.1条款的情况下，如果买方允许卖方使用买方的机械设备，卖方必须保证该机械设备是：(i) suitableforthepurposestowhichitistobeput.适合将使用的目的。(ii) usedinasafeandworkmanlikemannerandthatitisreturnedtoBuyerinanundamagedcondition,fairwearandtearexcepted.能够正确、安全的使用，并在归还时不能损坏，只能有正常的磨损。23.3 SellershallindemnifyBuyeragainstanydamageincludingpersonalinjurycausedbySeller'suseofPlantwhetherornotitissupplied,tested,examinedorapprovedbyBuyerexceptwherethedamageorpersonalinjuryiscausedbyBuyer'snegligence.卖方必须对由于使用买方机械设备而造成的任何损害包括人身伤害进行赔偿。无论是否是由买方提供，测试，检测或认可的。除非该损害或人身伤害是由于买方的疏忽造成。24.
