RegulationofthePeople,sRepublicofChinaontheAdministrationofForeign-FundedInsuranceCompanies(2019Amendment)DocumentNumber：OrderNo.720oftheStateCouncilof(hePeople'sRepublicofChinaAreaofLaw:InsuranceCompanies1.evelofAuthority：AdministrativeRegulationsIssuingAuthority：StateCouncilDateIssued：09-30-2019EffectiveDate:09-30-2019Status：Effective2016-2019AnnotationVersion2013-2016AnnotationVersion2001-2013AnnotationVersionChapter I General Provisions第一章总则RegulationofthePeople,sRepublicofChinaontheAdministrationofForeign-FundedInsuranceCompanies(IssuedbyOrderNo.336oftheStateCouncilofthePeople'sRepublicofChinaonDecember12,2001;amendedinaccordancewiththeDecisionoftheStateCouncilonAmendingtheRegulationofthePeople'sRepublicofChinaontheAdministrationofForeign-FundedInsuranceCompaniesonMay30,2013forthefirsttime;amendedinaccordancewiththeDecisionoftheStateCouncilonAmendingCertainAdministrativeRegulationsonFebrUary6,2016forthesecondtime;andamendedforthethirdtimeinaccordancewiththeDecisionoftheStateCounciltoAmendtheRegulationofthePeople'sRepublicofChinaontheAdministrationofForeign-FundedInsuranceCompaniesandtheRegulationofthePeople'sRepublicofChinaontheAdministrationofForeign-FundedBanksonSeptember30,2019)中华人民共和国外资保险公司管理条例（2001年12月12日中华人民共和国国务院令第336号公布根据2013年5月30日国务院关于修改中华人民共和国外资保险公司管理条例的决定第一次修订根据2016年2月6日国务院关于修改部分行政法规的决定第二次修订根据2019年9月30日国务院关于修改中华人民共和国外资保险公司管理条例和中华人民共和国外资银行管理条例的决定第三次修订）Article1ThisRegulationisdevelopedforthepurposesofsatisfyingtherequirementsofChina'sopeningupandeconomicdevelopment,strengtheningandimprovingthesupervisionandadministrationofforeign-fundedinsurancecompanies,andpromotingthesounddevelopmentoftheinsuranceindustry.Article2ForthepurposesofthisRegulation,foreign-fundedinsurancecompanies”meansthefollowinginsurancecompaniesformeduponapprovalandoperatingwithinChinainaccordancewiththerelevantlawsandadministrativeregulationsofthePeople'sRepublicofChina:(1) InsurancecompaniesformedwithinChinabyforeigninsurancecompaniesandChinesecompaniesorenterprisesintheformofequityjointventures(hereinafterreferredtoas“equityjointventureinsurancecompanies").(2) InsurancecompaniesformedwithinChinabyforeigninsurancecompanieswithforeigncapital(hereinafterreferredtoas“whollyfbreign-ownedinsurancecompanies").(3) BrancheswithinChinaofforeigninsurancecompanies(hereinafterreferredtoasttbranchesofforeigninsurancecompanies").Article 3 Foreign-fundedinsurancecompaniesmustabidebythelawsandregulationsofChina,andmaynotdamagethepublicinterestofChina.第一条为了适应对外开放和经济发展的需要，加强和完善对外资保险公司的监督管理，促进保险业的健康发展，制定本条例。第二条本条例所称外资保险公司，是指依照中华人民共和国有关法律、行政法规的规定，经批准在中国境内设立和营业的下列保险公司：（一）外国保险公司同中国的公司、企业在中国境内合资经营的保险公司（以下简称合资保险公司）；（二）外国保险公司在中国境内投资经营的外国资本保险公司（以下简称独资保险公司）；（三）外国保险公司在中国境内的分公司（以下简称外国保险公司分公司）。第三条外资保险公司必须遵守中国法律、法规，不得损害中国的社会公共利益。Thelawfuloperationsandlegalrightsandinterestsofforeign-fundedinsurancecompaniesshallbeprotectedbythelawsofChina.Article 4 TheinsuranceregulatoryauthorityoftheStateCouncilshallberesponsibleforthesupe,isionandadministrationofforeign-fundedinsurancecompanies.ThelocalofficesoftheinsuranceregulatoryauthorityoftheStaleCouncilshall,asauthorizedbytheinsuranceregulatoryauthorityoftheStateCouncil,conducttheroutinesupervisionandadministrationofforeign-fundedinsurancecompanieswithintheirrespectivejurisdictions.ChapterIIFormationandRegistrationArticle 5 Theformationofaforeign-fundedinsurancecompanyshallbesubjecttotheapprovaloftheinsuranceregulatoryauthorityoftheStateCouncil.Theregionswhereforeign-fundedinsurancecompaniesmaybeformedshallbedeterminedbytheinsuranceregulatoryauthorityoftheStateCouncilaccordingtotherelevantprovisions.Article 6 Fortheformationofforeign-fundedinsurancecompaniesengaginginpersonalinsuranceandforeign-fundedinsurancecompaniesengaginginpropertyinsurance,theformofbusinessandtheproportionofforeigninvestmentshallbedeterminedbytheinsuranceregulalorj,authorityoftheSlateCouncilaccordingtotherelevantprovisions.外资保险公司的正当业务活动和合法权益受中国法律保护。第四条国务院保险监督管理机构负责对外资保险公司实施监督管理。国务院保险监督管理机构的派出机构根据国务院保险监督管理机构的授权，对本辖区的外资保险公司进行日常监督管理。第二章设立与登记第五条设立外资保险公司，应当经国务院保险监督管理机构批准。设立外资保险公司的地区，由国务院保险监督管理机构按照有关规定确定。第六条设立经营人身保险业务的外资保险公司和经营财产保险业务的外资保险公司，其设立形式、外资比例由国务院保险监督管理机构按照有关规定确定。Article 7 Theminimumregisteredcapitalofanequityjointventureinsurancecompanyorawhollyforeign-ownedinsurancecompanyshallbe200millionyuanoranequivalentinfreelyconvertiblecurrencies,andmustbepaid-inmonetarycapital.Theheadofficeofaforeigninsurancecompanyshallgrantnotlessthan200millionyuanoranequivalentinfreelyconvertiblecurrenciestoabranchoftheforeigninsurancecompanyasworkingcapital.TheinsuranceregulatoryauthorityoftheStateCouncilmay,accordingtothescopeandscaleofbusinessofaforeign-fundedinsurancecompany,raisetheminimumamountoftheregisteredcapitalorworkingcapitaloftheforeign-fundedinsurancecompanies.Article 8 Toapplyfortheformationofaforeign-fundedinsurancecompany,aforeigninsurancecompanyshallmeetthefollowingconditions:(1) Itstotalassetsattheendoftheyearbefo
