4、suresfortheImplementationoftheProvisionsontheAdministrationofEnterpriseNameRegistrationChapterIGeneralProvisionsArticle1TheseMeasuresaredevelopedinaccordancewiththeProvisionsontheAdministrationofEnterpriseNameRegistration,theRegulationofthePeoplesRepublicofChinaontheAdministrationoftheRegistrationof

5、MarketEntities,andotherrelevantlawsandadministrativeregulationstoregulatetheadministrationofenterprisenameregistration,protectthelawfulrightsandinterestsofenterprises,maintainthesocialandeconomicorder,andoptimizethebusinessenvironment.Article2TheseMeasuresshallapplytoenterprisesthatshallbelegallyreg

6、isteredwithintheterritoryofChina,includingbutnotlimitedtocompanies,unincorporatedenterpriselegalpersons,partnerships,soleproprietorshipenterprises,andbranchesoftheaforesaidenterprises,aswellasthebranchesofforeigncompanies.Article 3 Theadministrationofenterprisenameregistrationshallfollowtheprinciple

7、sofcompliancewithlawsandregulations,unifiedstandards,opennessandtransparency,andconvenienceandefficiency.企业名称登记管理规定实施办 法第一章总则第一条为了规范企业名 称登记管理，保护企业的合法 权益，维护社会经济秩序，优 化营商环境，根据企业名称 登记管理规定中华人民共 和国市场主体登记管理条例 等有关法律、行政法规，制定 本办法。第二条本办法适用于在 中国境内依法需要办理登记的 企业，包括公司、非公司企业 法人、合伙企业、个人独资企 业和上述企业分支机构，以及 外国公司分支机构等。第三条

8、企业名称登记管 理应当遵循依法合规、规范统 一、公开透明、便捷高效的原 则。企业名称的申报和使用应当坚 持诚实信用，尊重在先合法权 利，避免混淆。Theapplicationfortheregistrationandtheuseofenterprisenamesshalladheretogoodfaith,respectpriorlawfulrights,andavoidconfusion.Article 4 TheStateAdministrationforMarketRegulation(uSAMRm)shalltakechargeoftheadministrationofenterpri

9、senameregistrationnationwide,beresponsibleforformulatingspecificnormsfortheadministrationofenterprisenameregistration,suchastherulesforprohibitingandrestrictingtheuseofenterprisenamesandtherulesforthecomparisonofidenticalandsimilarenterprisenames;andberesponsibleforestablishing,managing,andmaintaini

10、ngthenationalsystemforthestandardmanagementofenterprisenamesandtheenterprisenameregistrationapplicationsystemoftheSAMR.Themarketregulatorydepartmentsofpeoplesgovernmentsofallprovinces,autonomousregions,andmunicipalitiesdirectlyundertheCentralGovernment(hereinaftercollectivelyreferredtoas“provinciale

11、nterpriseregistrationauthoritiesn)shallberesponsibleforestablishing,managing,andmaintainingtheenterprisenameregistrationapplicationsystemwithintheirrespectiveadministrativeregionsandconnectingitwiththenationalsystemforthestandardmanagementofenterprisenamesandtheenterprisenameregistrationapplications

12、ystemoftheSAMR.1.ocalenterpriseregistrationauthoritiesatandabovethecountylevelshallberesponsiblefortheadministrationofenterprisenameregistrationwithintheirrespectiveadministrativeregions,handlingdisputesoverenterprisenames,andregulatingtheorderofadministrationofenterprisenameregistration.第四条国家市场监督管

13、理总局主管全国企业名称登记 管理工作，负责制定企业名称 禁限用规则、相同相近比对规 则等企业名称登记管理的具体 规范；负责建立、管理和维护 全国企业名称规范管理系统和 国家市场监督管理总局企业名 称申报系统。第五条各省、自治区、 直辖市人民政府市场监督管理 部门（以下统称省级企业登记 机关）负责建立、管理和维护 本行政区域内的企业名称申报 系统，并与全国企业名称规范 管理系统、国家市场监督管理 总局企业名称申报系统对接。县级以上地方企业登记机关负 责本行政区域内的企业名称登 记管理工作，处理企业名称争 议，规范企业名称登记管理秩 序。第六条国家市场监督管 理总局可以根据工作需要，授 权省级企业

14、登记机关从事不含 行政区划名称的企业名称登记Article 5 TheSAMRmay,asneededforwork,authorizeprovincialenterpriseregistrationauthoritiestoadministertheregistrationofenterprisenamesthatdonotcontainthenameofanyadministrativedivision,andprovidehigh-qualityenterprisenameregistrationapplicationservices.TheSAMRshallestablishrando

15、minspectionrulestostrengthenthesupervisionandinspectionoftheworkspecifiedintheprecedingparagraph.ChapterIlStandardizationofEnterpriseNamesArticle 7 AnenterprisenameshallusestandardChinesecharacters.Ifanenterprisenameneedstobetranslatedintoaforeignlanguageforuse,theenterpriseshalltranslateanduseitsen

16、terprisenameundertherelevantforeignlanguagetranslationprinciplesandmaynotviolatetheprovisionsofanylaworregulation.Article 8 Anenterprisenameshallgenerallyconsistofthenameoftheadministrativedivision,tradename,industryoroperationalcharacteristics,andorganizationalform,andbearrangedinsequence,exceptthatitisotherwiseprescribedbyanylaw,administrativeregulation,ortheseMeasures.Article 9 Thenam
