1、AssetsTransferAgreementthisassetstransferagreement(thisagreement)ismadebetweenandbythefollowingpartiesinbeijingon,(m,d,y).partya:aaaco.,Itd.address:partyb:bbbco”ltd.address:whereaspartyaagreestoassigntopartybtheassetsconcernedtopartybandpartybagreestoacceptthesaidassets;therefore,thepartiesreachthef

2、ollowingagreementthroughfriendlyconsultations:article1partyaagreestoassigntheassetslistedinattachmentiofthisagreement,andpartybagreestoaccepttheforegoingassets.article2thepartiesagreethatpartyawillcompletealltheproceduresnecessaryforthetransferoftheassetslistedinattachmentiheretofrompartyatopartybwi

3、thinuponexecutionofthisagreement(excludingthedayofexecutionforthisagreement),whichincludebutarenotlimitedtothehand-overofcertificationofownershipforsuchassetsandthehandlingofregistrationprocedures(ifapplicable).article3partybwillpaypartyaanassignmentfeeoffortheassetsassignedbypartya.article4theparti

4、esagreethatthetitleoftheassetslistedinattachmentiheretowillbetransferredtopartybontheuponexecutionofthisagreement,partyashallberesponsibleforalltheliabilitiesandrisksinvolvingthetitletransferoftheassetslistedinattachmentiheretopriortosuchtransfer(nomattersuchliabilitiesandrisksareclaimedbeforeorafte

5、rthetransferofsuchtitle),forwhichpartybshallbearnoliabilitiesandobligations,incasepartybdoesnotreceivetheforegoingassetswithinuponexecutionofthisagreement,partyashallcompensatein.article5representationandguarantee5.1partyrepresentsandguaranteesasfollows:（八）partyaisacompanyincorporatedandvalidlyexist

6、ingpursuanttotheChineselaws;(b)byexecutingandperformingthisagreement,partyadoesnotviolatetherelevantlawsandcontractsthathaveabindingforceonit,andhasobtainedtheproperauthorizationandallthenecessaryapprovalofexecutingandperformingthisagreement;and(c)partyaisentitledtotheownershipoftheassetslistedinatt

7、achmentiheretoandhasnotplacedmortgageoranythirdpartysinterestsagainstsuchownership,nordoesitimposeanyobstacletopartybfortheobtainmentofthetitleofsuchassets.5.2partybrepresentsandguaranteesasfollows:（八）partyaisacompanyincorporatedandvalidlyexistingpursuanttotheChineselaws;and(b)byexecutingandperformi

8、ngthisagreement,partybdoesnotviolatetherelevantlawsandcontractsthathaveabindingforceonit,andhasobtainedtheproperauthorizationandallthenecessaryapprovalofexecutingandperformingthisagreement.article6liabilityforbreachofagreement6.1ifonepartytothisagreement(thebreachingparty)failstoimplementitsobligati

9、onsunderthisagreement(includingviolationoftheprovisionsinvolvingrepresentationandguarantee),andfailstoadopteffectivemeasurestocorrectsuchviolationwithinuponreceiptofawrittennoticebytheotherparty(thenon-breachingparty)forsuchcorrectionwithinthestipulatedtime,thenon-breachingpartyhastherighttoterminat

10、ethisagreementandclaimcompensationfromthebreachingpartyforthelossessustainedtherefrom.6.2ifpartyaviolatestheprovisionsofarticles2and5ofthisagreement,partybhastherighttoseekreturnofallthepaymentandapenaltyequaltoofthetotalpricefrompartya.article7settlementofdisputeanydisputearisingoutoforinconnection

11、withthisagreementshallbesettledbythepartiesthroughconsultations,ifitcannotbesettledthroughconsultations,anypartymaysubmitthesaiddisputetochinainternationaleconomicandtradearbitrationcommissionforarbitrationinbeijingaccordingtoitsvalidrulesofarbitration,thearbitrationawardisfinalandshallbebindingover

12、theparties.article8forcemajeureaforcemajeureeventreferstoanyeventthatcannotbeforeseenanditsoccurrenceandconsequencescannotbeavoidedorovercomeatthetimewhenthisagreementisexecuted,anypartytothisagreementshallnotbeartheliabilitiesforbreachofthisagreementifitispreventedfromimplementingalloranypartofther

13、esponsibilitiesassociatedwiththeprovisionsofthisagreement,thepartythatisaffectedwithsuchaforcemajeureeventshallnotifytheotherpartyoftheeffectsofsucheventwithinafteritsoccurrence,andpresentcertificationbythelocalnotarizationorgan.article9transferofagreementnopartyshalltransferitsrightsandobligationsu

14、nderthisagreementtoanythirdpartyunlessconsentedbytheotherpartyinwriting.articleIOseparabiIityofagreementifanyarticleorsectionofthisagreementbecomesinvalidorunenforceable,itwillnotaffectthevalidityandenforceabilityofotherarticlesorsections.article11amendmentandsupplementofagreementthepartiesmayamendo
