2、oactasitsagenttosignthisContractwiththeSellerandhandlemattersrelatingtoCommodityimportation,includingandwithoutlimitationtocustomsdeclaration,inspectionandpaymentofcontractpricetotheSeller;2 .最终用户指定买方作为其代理人与卖方签订本合同，并处理与商品进口相关的事宜，包括但不限于办理货物进口报关、商检、向卖方支付商品价款等；AlthoughactingasanagentoftheEnd-user,theBu

TIMEOFSHIPMENT:装运时间：TheSelleragreestoexercisecustomary&reasonablebusinesspracticestomeettheBuyer,srequesteddeliverydatessetforthherein.TheBuyerunderstandsthatshippingdatesmaydependuponsitereadinessandtheSeller,spromptreceiptofallnecessaryinformationfromtheBuyeraswellaspromptshipmentoftheproductsf

6、romitssub-supplier.TheSellershallnotbe1iabletopaycompensationtotheBuyerfornon,lateormisdeliveryforcausesbeyondtheSeller,scontrol(andifnotremediedwithinareasonabletime).卖方同意采用惯常的和合理的商业作法满足买方上述列明的交付日的要求。买方知悉装运日期取决于场地的准备就绪、卖方从买方及时收到所有必要的信息以及卖方的转供货商对产品的及时发运。卖方不应对超出其控制的原因导致的未交付、延迟交付或错误交付(并且未在合理的时间内补救)对买方

INSURANCE:保险：TobecoveredbytheSellerfor110%ofinvoicevalueagainstwarrisks,allrisksincludingTPND,breakageandleakage.应由卖方按发票金额的110%投保战争保险，一切险包括TPND,破碎及渗漏。8. PACKING:包装:TnstandardPhilipsExportPackingandseaworthy/airworthymaterial

9、sformarine/airtransportation.应以适合海运/空运的材料用标准的飞利浦出口包装进行包装。9. SHIPPINGMARK:装运标记：TheSellershallmarklegiblyoneachpackagewithfadelesspaintthepackagenumber,grossweight,measurementsandwordingssuchas,KEEPAWAYFROMMOISTURE“HAND1.EWITHCAREw“THISSIDEUP”etc.andtheshippingmark:卖方应在每件包装箱上用不褪色的涂料清晰标明件号、毛重、尺码和诸如“怕湿”

10、、“小心轻放”和“勿倒置”等字样，以及如下装运标记：10. PAYMENT:付款：(1) TheBuyershallestablishwithfirstclassbanka100%irrevocable,1./CatsightinfavoroftheSeller.The1./Cshouldbewithaminimumvalidityoffourmonths.90%oftheContractpricewhichisUSDshal1bepaidby1./Catsightagainsttheshippingdocuments(DetaiIsasperarticle12);Theother10%oft

11、heContractvalueshallbepaidby1./Cagainsttheacceptancecertificatesignedbytheenduser.买方应通过一流银行开立一份不可撤销的、以卖方为受益人的、金额为合同总价凭合100%的有效期至少为4个月的即期信用证。其中合同金额的90%即USD同条款12的文件通过信用证支付，合同金额的10%凭最终用户签字的设备验收证书通过信用证支付。Any1.ettersofCreditestablishedinfavouroftheSellershallbeissuedbyfirstclassbanksacceptablebytheSe11er

12、whichhaveadoptedtheUniformCustomsandPractice(UCP)forDocumentaryCreditsissuedbytheInternationalChamberofCommerce(ICC),applicableatthedatetheContractcomesintoforce.任何开立的以卖方为受益人的信用证应由卖方可接受的一流银行开出，并应采用本合同生效之日适用的国际商会发布的跟单信用证统一惯例。Intheevent,thattheBuyerfailstoperformthisobligation,theSellershallhavetherig

RETENTIONOFOWNERSHIPANDDEFAU1.TINGPAYMENTS:所有权保留和拖欠付款：Withoutprejudicetothepassingoftherisksinaccordancewiththeapplicabletradeterma

14、sdescribedbelow,allgoodsshallremaintheSeller,spropertyuntilalloftheSeller,sclaimsagainsttheBuyerinrelationtothisContract,mostspecifically:FU1.1.PAYMENT,havebeensatisfied.TheBuyershallgiveanyassistanceintakinganymeasuresrequiredtoprotecttheSeller,spropertyrights.在不影响根据下述贸易术语确定风险转移的条件下，所有的货物应为卖方财产直至卖方
