2、厅关于进一步完善国有yHFurtherImprovingtheCorporateGovernanceStructureof企业法人治理结构的指导意见State-ownedEnterprises国办发(2017) 36号Guo Ban Fa 2017 No.36各省、自治区、直辖市人民政府，国务院各部委、各直属机构：完善国有企业法人治理结构是 全面推进依法治企、推进国家治理 体系和治理能力现代化的内在要 求，是新一轮国有企业改革的重要 任务。当前，多数国有企业已初步 建立现代企业制度，但从实践情况 看，现代企业制度仍不完善，部分 企业尚未形成有效的法人治理结 构，权责不清、约束不够、缺乏制 衡等

3、问题较为突出，一些董事会形 同虚设，未能发挥应有作用。根据Peoplesgovernmentsofallprovinces,autonomousregionsandcentrallyadministeredmunicipalities,andallministries/commissionsunderandallagenciesdirectlysubordinatetotheStateCouncil,Improvingthecorporategovernancestructureofstate-ownedenterprisesisaninherentrequirementtocomprehen

4、sivelypromotethelaw-basedgovernanceofenterprisesandthemodernizationofthenationalgovernancesystemandgovernancecapabilityandanimportanttaskforthenewroundofstate-ownedenterprisereform.Atpresent,themodernenterprisesystemhastakenshapeinitiallyinmoststate-ownedenterprises,butisstillnotperfectedaccordingto

5、practicalsituations.Someenterpriseshavenotyethadaneffectivecorporategovernancestructure;theyhaveprominentproblemssuchasunclearrightsandresponsibilities,shortageofconstraintsandlackofbalance;somehaveboardsofdirectorsthatperformpracticallynofunctionandareunabletoplaytheirduerole.Inaccordancewiththegui

8、略布局，牢固树立和贯彻落 实创新、协调、绿色、开放、共享 的发展理念，从国有企业实际情况 出发，以建立健全产权清晰、权贵 明确、政企分开、管理科学的现代 企业制度为方向，积极适应国有企 业改革的新形势新要求，坚持党的 领导、加强党的建设，完善体制机 制，依法规范权责，根据功能分Itisimperativetocomprehensivelyimplementtheguidelinesofthe18thNationalCongressoftheCommunistPartyofChina(CPC)andtheThird,theFourth,theFifth,andtheSixthPlenarySes

10、ouncil,topromotetheTive-spheredintegratedplan1overalllayoutandimpelthefour-prongedcomprehensivestrategyinacoordinatedmanner,tokeepfirmlyinmindandputintopracticethephilosophyofinnovative,coordinated,green,open,andshareddevelopment.Inlightoftheactualconditionsofstate-ownedenterprises,orientedbyestabli

11、shingandperfectinganmodernenterprisesystemfeaturedbyclearpropertyrights,definiterightsandresponsibilities,separationofgovernmentfromenterprisesandscientificmanagement,itisnecessarytoactivelyadapttothenewsituationandnewrequirementsofstate-ownedenterprisereform,toadheretotheleadershipoftheCPC,tostreng
